Terms of Service

1. Agreement with Odina

These Terms of Service (“Terms”) are a binding agreement between you and the Delaware corporation operating Odina (“Odina,” “we,” “our,” or “us”).

By accessing or using Odina’s website, desktop application, accounts, APIs, or related services (collectively, the “Services”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and accounts

You must be legally able to enter this agreement. If you cannot enter this agreement on your own, a parent or legal guardian must agree to these Terms on your behalf and supervise your use of the Services. If you use Odina for an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for maintaining suitable backups of your work.

3. What Odina provides

Odina is a local-first workspace for launching, viewing, and coordinating terminal-based software, including third-party AI agents and command-line tools. Optional hosted features may provide AI responses, copy formatting, transcription, voice interaction, notifications, and related assistance.

We may improve, add, remove, suspend, or discontinue features. Preview, beta, and experimental features may be incomplete, change without notice, or be withdrawn at any time.

4. Your responsibilities

You are responsible for:

• The prompts, commands, approvals, files, repositories, and systems you expose to agents.
• Reviewing proposed commands, code changes, communications, and outputs before relying on or distributing them.
• Having all rights and permissions needed for content and systems you use with Odina.
• Complying with applicable laws, workplace policies, licenses, and third-party terms.
• Maintaining backups and security controls appropriate to the importance of your work.

Third-party agents may execute commands, modify or delete files, access network services, or take actions you authorize. Odina does not control those tools and is not responsible for actions they take at your direction.

5. Acceptable use

You may not use the Services to:

• Violate law or another person’s rights, privacy, or intellectual property.
• Access systems, accounts, or data without authorization.
• Distribute malware, facilitate abuse, or compromise security.
• Interfere with, overload, scrape, probe, or circumvent limits on the Services.
• Resell or sublicense the Services unless we expressly permit it.
• Misrepresent identity, origin, authorization, or AI-generated work.

We may limit, suspend, or terminate access when we reasonably believe this section has been violated.

6. AI outputs

AI-generated output can be incomplete, inaccurate, offensive, insecure, or unsuitable for your purpose. Similar output may be generated for other users. You must independently review and test output, especially before using it for legal, medical, financial, employment, security, production, or safety-critical decisions.

Odina does not guarantee that AI output is correct, unique, non-infringing, or compatible with your code, systems, or obligations.

7. Your content

You retain ownership of content you provide and, as between you and Odina, any rights you may have in generated output. You grant us a limited, worldwide, non-exclusive license to host, transmit, reproduce, and technically modify your content only as necessary to provide, secure, and support the Services, comply with law, and enforce these Terms.

You represent that your content and our permitted processing of it do not violate law or anyone else’s rights. Our handling of personal information is described in the Privacy Policy.

8. Odina intellectual property

Odina and its licensors own the Services, software, branding, documentation, and related intellectual property. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the Odina application for your personal or internal business purposes.

Except where law permits, you may not copy, sell, distribute, modify, reverse engineer, or create derivative works from the Services. Feedback may be used by us without restriction or compensation.

9. Third-party services

Odina can interoperate with third-party agents, model providers, terminals, repositories, operating systems, payment services, and integrations. Their terms, privacy policies, availability, and charges apply independently. We are not responsible for third-party services, content, or changes.

10. Plans, AI tokens, renewals, and cancellation

Some features require a paid subscription or usage allowance. Prices, included AI tokens, limits, billing periods, taxes, and plan details shown at purchase form part of these Terms. AI tokens are service-use units, have no cash value, and may expire at the end of the applicable period.

Paid subscriptions renew automatically at the stated interval until canceled. You can cancel through the billing portal before renewal. Cancellation takes effect at the end of the current paid period. Charges already paid are non-refundable except where required by law or expressly stated at purchase.

11. Suspension and termination

You may stop using Odina at any time and may request account deletion. We may suspend or terminate access for a material breach, non-payment, security risk, legal requirement, or conduct that could harm the Services or others. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, and dispute terms.

12. Warranty disclaimer

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Odina disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and error-free operation. Your use of the Services is at your own risk.

13. Limitation of liability

To the maximum extent permitted by law, Odina and its affiliates, officers, employees, contractors, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, data, or business; interruption; unauthorized agent actions; or reliance on AI output.

Where liability cannot be excluded, our aggregate liability arising out of the Services or these Terms will not exceed the amount you paid for the Services in the 12 months before the event giving rise to the claim, or US $100 if you paid nothing. Nothing in these Terms limits liability that cannot legally be limited.

14. Indemnity

To the extent permitted by law, you will indemnify and hold harmless Odina and its affiliates, officers, employees, and contractors from claims, losses, and reasonable costs arising from your content, your use of the Services, your violation of these Terms, or your violation of another person’s rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law principles. Before filing a formal claim, each party agrees to attempt good-faith informal resolution for at least 30 days after written notice. If a dispute is not resolved, the state and federal courts located in Delaware will have exclusive jurisdiction, except where mandatory consumer law gives you the right to bring a claim elsewhere.

16. Changes and general terms

We may update these Terms. Material changes will be communicated where required, and continued use after the effective date means you accept the revised Terms. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the Services. If a provision is unenforceable, the remainder remains effective. These Terms and incorporated policies are the entire agreement concerning the Services.
